In exchange for good and valuable consideration, the receipt and sufficiency of which Participant hereby acknowledges, Participant hereby authorizes Alive Hospice, Inc., its subsidiaries, related and affiliated business entities, and/or designees (“Company”) to create, capture, and use Participant’s name, likeness, voice, testimonial, conversation, sounds, biographical data, and/or materials (collectively, your “Appearance”) for the promotion of Company. By this consent and release, Participant hereby grants the Company a royalty-free, fully paid up, perpetual, irrevocable, worldwide, right and license to use, reproduce, modify, adapt, publish, translate, combine with other works, distribute, and display Participant’s Appearance and/or incorporate in whole or in part, in all media now known or hereafter devised for the limited commercial, promotional and publicity purposes of Company, including but not limited to anywhere on the Company’s website and accompanying pages as well as Company’s social media.
Participant waives the right of prior approval and hereby holds harmless and releases the Company, its successors, assigns, and related business entities from any and all claims, demands, and causes of action (including, but not limited to, libel, slander, invasion of privacy, infringement of copyright, or right of publicity) Participant may have in connection with Company’s use of the Appearance.
Participant warrants and represents that this license does not in any way conflict with any existing commitment on Participant’s part, and any Appearance is true, to the best of Participant’s knowledge, and the Appearance will not violate or infringe upon the rights of Company or any third party.
Company is not obligated to actually use the Appearance. This consent and release shall be governed by the laws of the State of Tennessee (excluding its conflicts of law principles), and shall be binding on me and my successors, parents, licensees, legal representatives, heirs, and assigns (as applicable). Participant hereby submit to the jurisdiction of the state and federal courts having jurisdiction over Nashville, TN, to resolve any dispute arising out of or resulting from this consent and release. Termination of this consent and release, for any reason, shall not affect Company’s rights in the Appearance. Company may assign its rights in this consent and release, in whole or in part, to any individual or entity, without restriction. This consent and release represents the entire understanding and supersedes all prior understandings between the parties relating to the subject matter herein.* Checking this box gives permission to Alive to share your story on our social media platforms, in print, and on our website.
